Same ecommerce in 2 url..i'm dead now help

Please help me.... i have a big problems...
One years ago a create a ecommerce website (have key in the domain url) and it jump to the first position for my key.... but after i'm hit by penguin and i lost ranking for my top key.
I tried to recover it but didnt succeed
So i create a mirror website (have key in the domain url) and have a good ranking..
But now i receive a penalty for duplicate content !! Arghhh
So what i can do now ?!?
I can create a new website (with brand name in the url) and redirect (301) the old 2 website in the new url.... its a good idea?
I believe have no problems with duplicate content , but maybe the penguin penalty could be transferred to the new site what do you think ?
Or i can erase the website with penguin penalty and redirect only the website with "duplicate content"....but i lost many customers that already know the url...
