Default Looking for well drafted Offline Marketing Contract

Hello WF Members:

I am looking for a well drafted Offline Marketing Contract I can use as a template.

I have purchase several offline WSO's which represented themselves to be all inclusive, however none included a well drafted contractual template.

If a War Room member could provide 1 or more consultant type contracts for me to review, it would be greatly appreciated.

Thanks much in advance for a prompt response,

Alan

Hi Aaron:

Thank you for the link to docstoc... a good resource.

Did not find any applicable offline marketing contracts there, however it is a quality resource.

Thanks much... and hope some WF members might have some good contracts available.

No offense, but it's pretty annoying to read a post full of blue text, especially considering that links show up blue, making it hard to differentiate between links and words that just happen to be blue and underlined. Just saying.

Hi:

Via a WR member PM, I was referred to WSO: Offline Consulting Contracts (hotlinkz | Calvin Merrick), which does include a basic contract.

Hope some War Room members might be willing to make some additional contracts available for review.

Thanks much in advance,

Alan

Just using any old boilerplate contract is a big risk. Ask any attorney.

Have plenty of experience modifying contracts... looking for well drafted clauses specific to offline consulting and marketing.

Thanks much in advance,

Hi Alan,

If you want professional contracts for doing offline marketing, check out the following package:

Proposal and Contract Management Software, Documents, Templates and Samples for Selling Products and Services

Use these as a starting point.

Then, as Michael Hiles so wisely suggested, ask/hire an attorney.

Michael has probably forgotten more about offline consulting than 10 "offline gurus" here on WF could ever remember.

Best Regards,

P.S. Or try this. Play Russian Roulette and wait for that nice $5,000.00 DIY contract you had a new client sign not be worth the piece of copier paper it was printed on.

Hey Alan,

This is a contradiction:

I am looking for a well drafted Offline Marketing Contract I can use as a template.

You might as well get a poorly drafted one, seeing as you are using it as a template. Sure, it's better than nothing for starting out, but I would be looking at getting a custom one knocked out by a legal person, and then grabbing indemnity insurance.

I just worry that you might take a shortcut and think that it is an ideal solution when it is only a stopgap.

Hi JMB:

Thank you for taking the time to get back and appreciate the opportunity to review your sample contract.

The document is an excellent work order sheet... however I think it's missing many important contractual elements.

It seems that there is a huge need for a well-drafted Offline Marketing Agreement, one that even incorporates licensing rights and limitations and provides for a retainer fee and performance-based residual income (for consultants that choose a marketing strategy licensing option).

For my own purposes, I will have (2) law firms (specialists in contract law) review both my final Offline Licensing Agreement and Non-Disclosure Agreement (NDA).

From there, I may consider sharing the final Offline Licensing Agreement as a WSO and the NDA as a free WRO (as a big thank you to War Room members).

If any WF members would be interested, let me know.

Thanks much again for the opportunity to review your docs!

Hello MichaelHiles, JoeCool and Steve Peters Benn:

Thanks for posting.

I am in full agreement with each of you... and apologize for not making my intent clear enough to not be misunderstood.

The purpose of this thread is to AVOID the likes of:
"Russian Roulette" ...
"a poorly drafted" contract... "
"boilerplate contract is a big risk"
"shortcuts"
I have been a marketing consultant for 30+ years in diversified sectors of the financial and payment system industries. I am not an attorney, but happen to have a good law background. I have drafted many "tight" and "non-legaleze" agreements and had them reviewed and polished by at least one of several "contract law" specialist law firms which I use.

I also have substantial miles as a Windows Business Applications & Evaluation Consultant... however I have just recently decided to enter the "offline marketing" arena.

I believe I followed the correct and logical course of action to learn "offline marketing:"
- purchase and study "offline marketing" WSO's...

- search and study the War Room for any and all "offline marketing" threads and posts...

In the end I have learned some highly viable marketing strategies, which I am preparing to implement, however, consulting also requires a viable AGREEMENT... at least a contractual template which can be edited and then attorney-reviewed. ONLY one WSO which I have found and purchased provided a contractual template... and it was fairly rudimentary... not really usable for my purposes.

I fail to understand how so many Offline WSO's... which represent themselves to be thorough, step-by-step courses or guides (and I've purchased most of them)... manage to omit the inclusion of an well-drafted offline contract template.

In fact, only one of the WSO's which I have purchased and studied professed or openly disclosed any DISCLAIMER such as:
Dear subscriber:
This material is for educational purposes only.
It is highly recommended that you hire a competent law firm and invest a typical $1,500 to $5,000 to obtain a viable Offline Marketing Contract... before you even consider initiating your first offline business transaction.

JoeCool
squarely summarizes the imminent risk associated with not utilizing a well-drafted contract... at the bottom of his post #9 (above):

Quote:
Play Russian Roulette and wait for that nice $5,000.00 DIY contract you had a new client sign not be worth the piece of copier paper it was printed on.

I concur 100%. My concern exactly.

The assumption that every consultant must develop and pay for an attorney-customized contract from scratch is incorrect. After having written some 20+ Private 504-505 Reg-D Limited Partnership Memorandums under the jurisdiction of the SEC (approx.
250 pages each)... I am confident this assumption is not correct. My 1st 6 memorandums cost me $20,000+ each. After that I wised-up... wrote them myself... and paid my law firm $500 for each review from that point forward.

There appears to be a big need... so I'm now seriously considering duplicating this process for the benefit of the "offline marketing" opportunity as well... and will notify the WF when available.

"Russian Roulette" ... "a poorly drafted" contract... "boilerplate contract is a big risk"... "shortcuts"
- offer no long-term rewards in business.

I hope this proves helpful.

Thank you for your comments and hope to review some more offline agreements soon (if there are any - LOL!!!).

Alan
