Are there any good sources of info on finding and negotiating sites to do media buys on?

I'm looking to find private sites to place some ad banners on. Preferably it will be sites that dont have a regular ad selling program already. Does anyone have a good source of info on tips for doing this?

I would like to see a good example of the agreement used so that the people really display the banners and dont rip you off.
