Here is a message I got from google:

From Google webmaster tools: "...Dear site owner or webmaster of ...
As of the last crawl of your website, you appear to be running WordPress 3.2. Google recommends that you update to the latest release. Older or unpatched software may be vulnerable to hacking or malware that can hurt your users. To download the latest release, visit the WordPress download page. If you have already updated to the latest version of WordPress, please disregard this message..."


They also made a blog post:
Official Google Webmaster Central Blog: 'New software version' notifications for your site

So, if I prefer to stay with older WP version - will it affect my google ranking?

    it's tough to say. Older versions are more open to exploits which could harm users, versions that are upgraded also show more site upkeep. Whether or not google rewards these things is a good question. All we know is that they HAVE the data they need in order to reward updated versions, and that they like to use all the data they can..

    Upgrading wont affect Ur SEO....Upgrading will protect from Ur site getting hacked. :p

      And getting hacked can ruin your rankings, among other things.

      If you don't want the upgrade notices, just remove the line of code in the header data with the version info.
