White Label Opportunity - Pitfalls?

I am currently in discussions with a large firm who want me to provide my service to their clients on a white-label basis (give me a company email address to use when conversing with their clients, etc).

It is 100% genuine as we're established business friends and I actually came up with the idea.

The pricing side of everything is sorted - we've reached a good number to run with. In fact, I get a better deal out of their clients that selling through my own site!

Here is my question....

The company want me to develop a strategy they can use to sell my services, and maintain that strategy going forward.

Here is what I need to figure....

Should, down the line, we decide to part ways - I would have develped their strategy for selling my services. If they use a new provider, they would likely use this strategy (the one I developed) to make money, leaving me with nothing anymore.

What safeguards should I be putting in place? Also, this strategy will take me time, should I charge for it?

I have never worked under a white label agreement before. So if anyone wants to share any advice it would be great.

I will discuss this with a qualified legal pro - but, as you know, they live their lives on paper so I would also like advice from people who have physically 'been there and done that'.
