Hi,

I'm having someone develop a fairly large project for us, and were looking to get them to sign a contract with (NDA already in the contract) this way they don't try to take your money and run if you put down a down payment. Can anyone give some input on what I should do, thinking of going to legalzoom and have them print one up.

    Some issues may depend on where you are located and the contractor is located. For instance, if you are in Miami and they are in Moscow, good luck enforcing any contract.

    You will want to be sure you own the intellectual property rights.

    Are you just wanting confidentiality, or to have terms for when payment must be made? Are their milestones? Payment of costs? Indemnity issues? What approval is required?

    Another option would be to run the project through a service like elance as project development, contracts, and protecting sellers is a big part of what they do.

      Great things to think about there. Definitely need some type of NDA. Hopefully, they are in an area that you could enforce it.

        Thanks for the replies here, this deal is not affiliated with elance, I know him from a business forum and he's in France, I'm in the US. Would legalzoom be a good option, or what should be done here, as I have never done this before.
