Non disclosure agreement template?
 

Does anyone happen to have a generic non disclosure template that they could share? I have looked around a lot online, but the problem is that it says "free" until you try to download and then there is a charge or monthly fee. I know I have seen generic ones around before.... until I need one!

Crystal Love had one on her product that was good but I don't have a copy anymore. It was a well written "I can find you" deal that was professional and had weight.
She may still have the product on the forum and she does mention the disclosure in the thread

I'd be careful with generic forms. They can work in some cases, but, then again, they may not. The more important the transaction, the more important to make sure the document properly protects your interest.

I know this isn't what you asked, but just wanted to share my thoughts based on hard-won experience.

This Confidentiality Agreement is made between ___________________ (“INDEPENDENT CONTRACTOR”) and _____________, (“COMPANY”) on _____________________.

INDEPENDENT CONTRACTOR will perform services for COMPANY which may require COMPANY to disclose confidential and proprietary information (“Confidential Information”) to INDEPENDENT CONTRACTOR. (Confidential Information is any information of any kind, nature, or description concerning any matters affecting or relating to Independent Contractor’s services for COMPANY, the business or operations of COMPANY, and/or the products, drawings, plans, processes, or other data of COMPANY). Accordingly, to protect the COMPANY’S Confidential Information that will be disclosed to INDEPENDENT CONTRACTOR, the INDEPENDENT CONTRACTOR agrees as follows:

A. INDEPENDENT CONTRACTOR will hold the Confidential Information received from COMPANY in strict confidence and shall exercise a reasonable degree of care to prevent disclosure to others.
B. INDEPENDENT CONTRACTOR will not disclose or divulge either directly or indirectly the Confidential Information to others unless first authorized to do so in writing by COMPANY.
C. INDEPENDENT CONTRACTOR will not reproduce the Confidential Information nor use this information commercially or for any purpose other than the performance of his duties for COMPANY.
D. INDEPENDENT CONTRACTOR will, upon the request or upon termination of his relationship with COMPANY, deliver to COMPANY any drawings, notes, documents, equipment, and materials received from COMPANY or originating from its activities for COMPANY.
E. COMPANY shall have the sole right to determine the treatment of any information that is part or project specific received from INDEPENDENT CONTRACTOR, including the right to keep the same as a trade secret, to use and disclose the same without prior patent applications, to file copyright registrations in its own name or to follow any other procedures as COMPANY may deem appropriate.
F. COMPANY reserves the right to take disciplinary action, up to and including termination for violations of this agreement.

INDEPENDENT CONTRACTOR represents and warrants that it is not under any preexisting obligations inconsistent with the provisions of this Agreement.

Signing below signifies that the INDEPENDENT CONTRACTOR agrees to the terms and conditions of the agreement stated above.
