Hello all, I just started to do my Mobile Marketing and got my White Label / Website up and running. I been telling all my friends trying to drum up interest until I start doing my Cold calling to local businesses. So I got a call from one of my friends who is actually doing regular Marketing for corps and local SMB's and is interested in using my services. and doing some type of joint venture. What I want to know before I start going into business with him is how i should charge him and do billing if they are his clients? how have you guys done JV's and what agreements / setups have you all done? Just want to maximize my profits as much as possible and keep everybody happy in the end. |

If your goal is: "maximize my profits"...you have a few choices. If your friend considers the JV to be marketing and he will not be providing any of the products/services - Pay a single referral fee for the first order and the client is yours for the services/products you provide in the future. Your friend can still sell the client other products/services. Pay a diminishing referral fee for a fixed number of orders (a little less per order) and the client is yours for the services/products you provide in the future. Your friend can still sell the client other products/services. If your friend considers the JV to be sharing the providing of the products/services along with a split of the profits - List the products/services to be provided, who is responsible for which activities and how the expenses/profits will be spent. If your friend considers you are acting like a sub-contractor to him, whether white label or not, both of you just have to agree on your product/service specs, wholesale price and terms under which you get paid. I would suggest you Google joint venture agreement/contract, jv agreement/contract, subcontractor agreement/contract, sales agreement/contract, commission agreement/contract. I wouldn't recommend you use one of these agreements or contracts, unless you know how to make legal modifications for your state. But, they will give you some ideas to consider of how others have done either joint ventures or marketing arrangements or sub-contractor agreements. It appeared in your post that you and your friend have not decided which type of arrangement to do. Any of these can work. Pick the one that works the best for you. |

ah man didn't think this was going to be so complex ..... ahhhh I think im just going to charge @ a discount and I just do my regular work to make it easy... I have no time to make these crazy contracts and stuff .... what do you guys think is the best method of making this work that doesnt require a whole bunch of paperwork.

Simple process. Just wholesale your services to your friend. Decide if you have a guarantee. When you finish, you get paid. "Joint ventures" can be more complex. You asked about JVs, which meant a longer explanation. Now go make some money |

Agree with Sky. JV is just too much of a hassle/complex process in your case. Wholesale your text credits, etc to your friend and you can give him a discount depending on how much he wants to purchase.

perfect maybe i shouldn't have used the term "JV"... wholesale will be better for both of us. he saves and i still make money ... perfect.
