for all the people offering seo services to clients. how to do protect yourself legally? do you have the client sign an agreement or a contract or do you just have them purchase the service and start working. please only respond if you are sucessfully offering online marketing services as a legitimate business

    Okay - first and foremost... I am not a lawyer. I have not had a lawyer examine this. This in no way should be considered legal advice. What I show you below is an example and conversation piece only.

    Now, with all the requisite legal proceedings out of the way...

    For a long time - about 3 years - I had a longish Service Agreement. This agreement was about 3 pages in a 9 point font. I "borrowed" most of it from a major web services company I used to work for. It had all the right language about ownership, warranties, limitation of liability, etc.

    ABout 6 months ago, I changed everything.

    Here's why... I realized that most of the time, I could close prospects in one face to face meeting, but not with a 3 page contract. After a phone call, some email back and forth, by the time we meet face to face, they're ready to close. A long legal-laden service agreement is awful for a quick close.

    So, I created a 1 page order form, with everything on it. The top half shows all my services (2 flavors of SEO, 2 flavors of local SEO, PPC, Social Media Package, hourly consulting).

    The bottom 1/8 has a place for credit card information and a signature line.

    Between, I have my terms. I copied this exactly from my order form - here are my terms:

    By signing below you authorize-----to use the below credit card information for billing for various Internet marketing services indicated above. Billing will only occur for services specified herein. All service descriptions and features are listed and maintained at www.mydomain.com.

    YOU AGREE THAT YOU AND/OR YOUR ORGANIZATION OR COMPANY WILL NOT TAKE ANY ACTION, LEGAL OR OTHERWISE, WHICH RESULTS IN A CLAIM THAT AMOUNTS TO A VALUE MORE THAN THE AMOUNT BILLED FOR SERVICES.

    YOU AGREE THAT YOUR USE OF OUR SERVICE(S) IS SOLELY AT YOUR OWN RISK. -------------- EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND ANY AMOUNT OR TYPE OF INTERNET TRAFFIC, WEBSITE VISITORS, OR NEW CUSTOMERS OF ANY KIND.

    But I hope this gets you thinking.

    Also - for web design.... something that sets me apart from many larger design shops is that I include a blurb about ownership. I make no claim to any textm images, files, any aspect of the site. once the final approval is given and payment processed, the customer owns it all. Some web design shops hold sites hostage and it bugs me. :-)

    Yeah you get a contract that is bulletproof. Most contracts on WF might not be enforcable in your state/country. Get an attorney who can write something up that will protect you from anything. // From someone who really does do offline marketing.

    You need a contract to limit your liability. Most of the phrasing of the example is Bredfan's post is pretty standard, but you should get an attorney in your jurisdiction to make sure that the wording meets the legal requirements where you are doing business.
