Updating Heavliy Modified WP Theme

I using a wordpress theme that I paid someone to heavily modify the CSS and some of the functionality. The problem is I've been to afraid to update to the latest release of this theme because it will probably break my site. I'm also on an older version of wordpress that has not been updated in over a year. I want to get my site updated to the latest WP version and the latest version of my theme. My question is... How much work would be involved if I had someone update my site to the latest versions? I'm trying to figure out a budget for a freelancer to do the upgrade. The other problem is the developer of my theme has recently done a complete over haul on the theme and it's been re coded from the ground up. This doesn't sound like an easy process. I also have custom modified plug-ins on this site as well such as WishListMember and Subscribe2. I feel like all the work that was done to modify my theme will be lost if I upgrade. Is this true? If I pay someone to upgrade it would they have to start over from scratch?

Sorry for the blob of text above, not sure why line breaks aren't working...

Unfortunately if your theme's core code has been modified then yes - upgrading it will make it revert to its original, un-modified appearance.

The best way to modify the appearance of a theme (that doesn't have a custom stylesheet or a child theme) in order to avoid problems at upgrade time is to create a child theme - this article sets out a process:

WRT WordPress itself, upgrading it should be no problem unless you've altered any of the core code, in which case (again) it will revert to the default functionality.

You mentioned that you've modified plugins - these may also cause problems when you upgrade WordPress.

This article goes through a process for avoiding or dealing with problems when you upgrade WordPress:
