Could anyone evaluate this approach:

As a small web development company we look for the ways to build relations to drive more business. One of the ideas is to nurture relations with SEO/ SEM agencies that are not our direct competitors and might drive us web development projects.

But how to get those agencies interested in addition to paying referral fees?

We have developed a number of online marketing tools that we plan to install and maintain to our partners for a fraction of cost to make their business look better in the eyes of their customers.
