Need a JV agreement ASAP

Hello everyone,

I am in the process of creating an educational video that I am going to be selling from my website.

For this video, I am partnering up with 3 different experts in my niche - they will be interviewed on camera. I am paying for filming, editing, etc, and my experts only share their expertise.

Once the video is produced, I am going to give it to my experts as a compensation for their work. They will be free to edit, re-package, market, sell (as digital and hard copies) and price the product at their discretion from their sites or offline. And I will have the same rights.

NOW THE QUESTION:

I need to put together an agreement/contract, so that everyone feels protected. Can you please recommend a low-cost resource that will help me create/word this agreement? The templates I've already seen don't fit my situation.

    My advice would be to take a legal contract from somewhere like legal forms dot com and modify it for your situation. All you really need is a basic contract that you can add and subtract things from.

      Hi guys,

      I bought 2 different packages and downloaded several free templates, but I'm still struggling with the wording - they are all totally NOT relevant!

      I am NOT looking to start a new business for this JV, or have a place of business, or a board of directors, or distribution of profits, etc.

      What I want to do is partner with a person to create a product together, and then each of us gets the product as a compensation, and each of us can do anything we want with it (edit, re-package, market, sell and price at our discretion). That's it.

      So I need a form that will protect both of us from each other.

      I refuse to believe there is no template that is related to my situation.

      Please help!!!

        What I have done in similar situations is to draft up a contract based on a template/similar contract that says what I want it to say, then have a lawyer go over it and make sure it does say what I want it to say. It will cost you a couple hundred bucks, but it is well worth it. The trouble with legal documents of any type is that if there is ANY way that they can be misinterpreted, a lawyer will exploit that and your contract will be worth nothing.

        It's a little long, but I'm sure you can cut it down to say what you need.

          I just tried finding a lawyer on Elance.com but they rejected my project, because:

          "You posted a project that is a joint venture or requires a partnership where profits will be shared contingent upon success. To have your project approved, you must offer a rate per hour or a total estimated payment to a professional once work is completed, not if and only if success is achieved."

          What's up with that? How can I work around this? Both my partner for this JV and I are perfectly happy with this arrangement. :confused: Why is it not allowed?
