Transactional IM Partnerships (written agreements , payment processing, etc)?!

We all know that in IM partnerships are big. I'm curious to hear how others are handling the issue of: a) payment processing b)content creation/email list ownership b) and other legalities when it comes to connecting on partnerships with people....

summing up:

-ownership of co-created content
-list ownership
-payment processing
-written agreements, legal forms, etc


Obviously it you plan on doing long term business with someone, the 2-member/jointly owned LLC make sense.

But what about something as simple as co-creating software, or a membership site or a video, or an emailing list?

I'm open to hearing about products you use, best practices, etc?

    If you are serious you will need to get some legal advise, but I am sure that some of the legal document sites (like legalzoom.com) have a boilerplate contract available that you could use
