what is the best way to put everything in a contract?

Hello warriors,

I have a quick question

what will be the best way to write down an agreement made by me and a potential partner to work on a project

we are from diffrent countries he is from the US and i'm not

if we use the fax or email will such a document hold a legal value in case of problems?

I appreciate any type of input

      I will go eventually to a lawyer but I posted here first hoping that someone did it before so he can give me some tips
