Process for starting an LLC

Greetings,

I currently need to form a LLC, but i getting frustrated with the process.

I have decided on an Wynoming LLC and would like my identity to remain as anonymous as possible. Can any one suggest the next steps? Thanks

    However, is there a reason you'd want to be anonymous? It makes you look a little shady.

    If it's not in the state you live in, you can't just use a PO - you have to have a physical address that mail can be delivered to. If you know someone in that state ask if you can use their address and if they will send your mail to you. You'll want to offer them something for it - at least pay for your own mail to be forwarded to you). That is the address at which they will serve papers to you if anyone sues you or in case of other legal actions - so make sure it's someone who will contact you immediately in such an event. If you don't know anyone, you'll have to buy the service.

    Try near by company formation group an discuss your needs with them. They can both help and guide you in forming your business and can introduce you to lawyer to keep yourself safe.

    I actually used bizfilings to form my LLC and thier prices were a little better than legal zoom. They also have a registered agent service in which they act as your agent by handling the filing and recieving of your documents. With the registered agant service you can use their mailing address to protect your anonymity a little more.

    I guess with this plug I should have seriously looked into whether they have an affiliate program or not. good luck

    You can save a few bucks by filing your own LLC online in Wyoming. See Wyoming Limited Liability Company :: LLC Center

    However, if you don't live in Wyoming, you will need to appoint a registered agent in that state, as others have noted above.

    Don't do LLC, much better to do S Corp, find a good accountant.. Anyone recommending LLC isn't the guy you want.

      It's not that simple. Some of the largest companies are organized as an LLC. For example Chrysler and Mars. I guess they have listened the wrong guy :rolleyes:

        An LLC, LLP, or C-class corporation is only meaningful if your business is of a certain size.

        An S-class corporation holds social meaning and a connotation of professionalism that a sole proprietorship or general partnership does not, even with only one or two "shareholders," and there are various tax benefits which I will not go into because don't take legal advice on the internet.

    If your plan is to only have an LLC, then I would recommend using a thrid party company to set up your LLC with their overly used address, which I am sure very spammer in the world has used.

    The second option (which is the better one) find a virtual address somethimes you can find a real gem. Where you do not have to pay a monthly fee, however you would pay for postage to your country/state.

    The reason I said stick with the latter, if you decide on opening a bank account in the USA even if you are an international, using an address you have actively found will work better than using third party in house mail forwarding service.

    One you have obtain/created your LLC, I would recommend getting your TAX ID for your business, as your affiliate company WILL require it.

    Have you even consulted with an accountant? There are many reasons why an LLC is good, but many reasons why it is not.

    I am no accountant, but I believe the LLC earnings flow through to your SS#. You may not want that as you get taxed at the personal rate and not a Corp rate which is much less.

    By the way, Chrysler GROUP LLC is but ONE organization - keep in mind there is GMAC, Chrysler Financial, etc. Those organizations are not all LLCs.

    Not sure what your reason is for starting an LLC in Wyoming. Does your home state have a net income tax? Does Wyoming have a state income tax? As a business, LLC or otherwise, you are allowed certain allowed expenses as part of the business. Those allowed expenses could be gas, home office space expense, telephone, internet, business meals, etc. Keep in mind, the LLC will have to file taxes in Wyoming. That will mean hiring a CPA to file taxes for the LLC, filing annual LLC registration fees in Wyoming, etc. The income/loss for that LLC will flow thru to your SS# via a K1 each year. You won't be able to file a personal tax return until you receive a K1 for that LLC. If your net income for the LLC is negligible, you may be better off just filing for an LLC in your own state. Keep in mind each state has their own laws. Wyoming may require you to have a registered agent with a physical address in which the LLC is formed. Most registered agents will charge you an annual fee. Before deciding where to form the LLC I would take into account the NET income and then talk to your current CPA. You may be better off just filing a single member LLC in your home state and having your current CPA be the registered agent. He probably won't charge you anything and all your tax information is located at one office so audits will be quick and easy and less costly.
