Hi Everyone,

We are just about ready to launch our new SEO website. In preparing to do so we are making sure we "have our ducks in a row". In doing so we are making our Customer agreement forms, etc. We just finished our agreement for a month-to-month SEO client. After visiting several forums I noticed several people needed help in creating an agreement such as the one we just finished. So, if it is helpful for some of you we wanted to share it here if it would be of benefit to you (I posted it below). There is a similar agreement from the MOZ forum based on a timed contractual obligation. The one we have finished is "re-done" by us as we have decided our agreements will not be based on "Contracts" for certain beneficial reasons. Feel free to use it as you wish for your own needs as we want to share with this community when possible. Alter as you wish, and make it your own. Having said that, it should cover all the bases you need.

NOTE: I am not a lawyer. This is not intended to reflect any legal advice, nor should it have any reflection on Warrior Forum. It is purely something we wanted to share to benefit those who may need it. Note also we made the agreement for Texas (for any arbitration or disputes), you would want to change this to your state/county/country etc.

On a separate note: Do any of you have any agreements you can share when you do a website build alone (without any ongoing SEO)? Typically referred as an "on-line brochure".

    This month-to-month SEO agreement is entered into between (your Company here) and _____________________________________________ (hereinafter referred to as “Client”) on the _____ day of ______________, 20______ (hereinafter referred to as “Effective Date”).

    1. (your Compant) will provide Client with Search Engine Optimization services
    (hereinafter referred to as “SEO”) as described in this agreement. (your Company) will only use credible, ethical methods, following search engine guidelines to improve the client's website’s performance (otherwise known as “White Hat” methods). (your Company) will use specific keywords/phrases to improve the search engine ranking of, and/or position the contents of the Client's website, ___________________________.

    2. The fee for the SEO services to be provided is $_______ USD per month, billed on a monthly basis.
    (your Company)' SEO services are intended to serve two main purposes: 1) to provide the Client with increased exposure in search engines, and 2) to drive targeted online traffic to the Client's website.

    (your Company)' SEO Services will include (but are not limited to):
    Researching keywords/phrases to select appropriate, relevant search terms as needed. Keywords and/or key-phrases may change as deemed by (your Company) depending on search trends in the interest of providing Client with optimal results.
    Strive to obtain quality “back links” from other websites and directories in order to generate website authority, link popularity and traffic.
    Editing and/or optimization of various HTML tags, meta data, page titles, and page text as necessary in the interest of providing Client with optimal results.
    Analysis and recommendations on optimal website structure, navigation, code, etc. for best SEO purposes.
    Recommend, as required, additional web pages or content for the purpose of “catching” keyword/phrase searches.
    Monitoring website, generating reports (such as: back link profile; user engagement; traffic statistics; search trends; code validation; etc.) and provide them to Client on a monthly basis, providing recommendations and strategies to improve targeted traffic to the Client’s website.
    On-going recommendations for content development.
    Submitting Client's website to search engines and directories as deemed useful for the benefit of the Client.

    3. For the purposes of receiving professional SEO services, Client agrees to provide the following:
    Administrative/back-end access to the website for analysis of content and structure.
    Permission to make changes for the purpose of optimization, and to communicate directly with any third parties, e.g., your web designer, if necessary.
    Unlimited access to existing website traffic statistics for analysis and tracking purposes.
    A @clientsite.com email address for the purposes of requesting links (something like contact@clientsite.com)
    Authorization to use Client pictures, logos, trademarks, website images, pamphlets, content, etc., for any use as deemed necessary by (your Company) for search engine optimization purposes.
    If Client’s site is lacking in textual content, Client will provide additional text content in electronic format for the purpose of creating additional or richer web pages. (your Company) can create website content at additional cost to the Client. If Client is interested in purchasing content from (your Company), please contact (your Company) for a cost estimate.

    4. Client must acknowledge the following with respect to SEO services:
    All fees are non-refundable.
    Fees will be due at the beginning of each calendar month. The first month will be billed on a pro-rated scale (if needed). Failure to make payment after a 10 day grace period will be considered a breach of this agreement. First payment is due upon effective date of this agreement. Accepted forms of payment include: check, money order, Visa/MasterCard, PayPal.
    Any changes to the terms of this agreement must be in a written Change Order, signed by both parties.
    This agreement shall remain in effect until nullified by either party. Nullification must be given with 30 days notice and be provided in writing.
    All fees, services, documents, recommendations, and reports are confidential as (your Company) respects your privacy.
    (your Company) cannot predict future search engine algorithm changes and has no control over the policies or inclusions of search engines now or in the future. Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, (your Company) commits to work to give the Client's website the best possible opportunity for reaching high rankings.
    Google has been known to hinder the rankings of new websites (or pages) until they have proven their viability, as determined by Google. (your Company) assumes no liability for ranking/traffic/indexing issues related to this. Achieving rankings in any search engine is acquired over time.
    Linking to “bad neighborhoods” or getting links from “link farms” can seriously damage all SEO efforts. (your Company) does not assume liability for the Client’s choice to link to or obtain a link from any particular website without prior consultation.

    5. Additional Services not listed herein (such as managing pay-per click campaigns, copy writing, link baiting, etc.) will be provided for a fee of $75.00 per hour, billable in quarter hour increments.

    6. The Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to (your Company) for inclusion on the website above are owned by the Client, or that the Client has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend (your Company) and/or its subcontractors from any liability or suit arising from the use of such elements.

    7. (your Company) is not responsible for the damage caused by the Client overwriting (your Company)' SEO work on the Client’s website/web page(s). The Client will be charged an additional fee for re-constructing content that has negatively affected search engine placement done by Client or any Client affiliates. Charges are based on the hourly rate of $75.00 per hour.
    Likewise, Client agrees to not engage in any “Black hat” SEO spamming methods focused on computers instead of human users to artificially increase a website/web page(s) placement. Client agrees to inform (your Company) if any Black hat techniques were used in the past as these techniques may harm search engine rankings.

    8. Venue and Dispute Resolution: The validity and enforceability of this agreement will be interpreted in accordance with the laws of the State of Texas applicable to agreements entered into and performed in the State of Texas.
    In the event a dispute shall arise between the parties to this agreement, it is hereby agreed that the dispute shall be referred to a professional arbitrator chosen by (your Company) in Tarrant County, TX for arbitration in accordance with the applicable United States Arbitration and Mediation Rules of Arbitration. The arbitrator’s decision shall be final and legally binding and judgment may be entered thereon.
    Each party shall be responsible for its share of the arbitration fees in accordance with the applicable Rules of Arbitration. In the event a party fails to proceed with arbitration, unsuccessfully challenges the arbitrator’s award, or fails to comply with the arbitrator’s award, the other party is entitled to costs of suit, including a reasonable attorney’s fee for having to compel arbitration or defend or enforce the award.

    9. Definitions. Terms defined above have their assigned meanings and each of the following terms has the meaning assigned to it:
    “Agreement” means this SEO Agreement.
    “Black Hat” SEO tactics include but are not limited to keyword stuffing, invisible text, creating duplicate sites, duplicating content or pages, redirects or doorway pages, request or exchange links with link farms or other search engine spamming techniques which may harm the website’s ranking with Search engines.
    “Effective Date” means the date listed in the preamble of this Agreement.
    "Keyword" means words/phrases typed into a search engine by potential consumers of the client's website and its related products and services.
    “Website Content” means the words, graphics, video, or other immediately visible content when visiting a web page.
    “White Hat” means using SEO methods focused on human users and based in accepted search engine guidelines to improve a website’s performance.
    “Writing” means an e-mail or other written communication, such as attached documents, sent for the purpose of providing legal notice to either party. Receiving party must acknowledge the receipt of communication.
