Link exchange between sites with high content volume

During our email out reach that we are doing for a client, we reached out to a high PR site who responded positively. They are interested in a content sharing deal where we both link to each other's content.
But I don't feel good about link exchange but then there is content involved. What do you guys think about this? How should we tackle this? Our plus point is that we have very high volume of excellent quality content in the chosen niche. Their plus point is that they have a very large audience.
I am thinking to inform them how have high value content and how it would add value to their site and be of good benefits to their audience, and also inform them that link exchange can be risky for both sites. SO basically they will get our writings for free.
I just want to put this in less crude terms and any help or other ideas would be highly appreciated.
