1) both sites produced an exit popup...as I tried to scroll down. I wasn't even trying to leave the site....

Hey Shah,
Overall I think it's a nice looking site. I would probably make the graphic a little shorter, so you can see more of the Call To Action above the fold, etc.
But overall, looks good.
