What could the ''terms'' for an online JV be? I'm confused.

Hi.

I want to set up a JV deal between a product owner and the owner of a complimentary, non-competing, high-traffic site (there's also a sizeable mailing list).

Both parties have expressed interest in hearing more about what I have in mind.

English is not my first language, and there are times when I get confused when I'm presented with a word or term I am not quite familiar with.

What do I mean? The product owner asked me for the percentages we'd be splitting three-ways and he asked me for the TERMS of the deal. I am stuck on the terms part. Not quite sure what he means or what to share with him.

I am exhausted and can't think straight for now, so I would appreciate a bit of guidance. He's waiting for my reply.

Thanks!

By terms he probably is meaning terms and conditions? Just like rules you will have set amongst yourselves to ensure everything runs smoothly and there is no fights/arguments.

Yes he probably wants to know what each one of you want from the agreement and what you're giving back in return.
