Help! Quoting SEO and Micro Niche Project

A prospective client of mine saw a micro niche site that he really liked on Flippa and wanted how much it would cost to replicate that type of site and performance (sharp design and custom logo included) for a variety of niches based on a contingency agreement. This is my first time working on a project of this nature and I'm looking for advice on what you guys would quote for the project and also on terms that won't leave me holding the bag on a perfomace contingent agreement. I saw a good article at bit.ly/9Mh5sD about this type of contract but need help on the specifics and advice from the good community here at WF.
Background info on the project:
1. The model site along with background info on the ranking and SEO behind it can be found at bit.ly/bDO3Nd
2. He has purchased some exact match domains already though I don't know how well researched the keywords are. If it goes well in the future I may be doing all the research and domain selection.
3. From what we've discussed so far he wants pay only if the site's perform within some parameters we define but is willing to make a deposit up front.
4. He is looking to target the typical micro niche product keywords that get anywhere from 3,000 - 15,000+ exact searches and wants a top 3 spot.
So here are my questions for you guys:
1. Would you refuse to enter a contengincey agreement?
I'm pretty sure he will back out if its not done this way but if it is simply a bad idea I'd like to know.
2. How much would you charge per site with everything included and 5 - 10 content pages and target phrases on a flat fee basis?
3. How much per site with a flat fee and profit sharing agreement?
4. Would you demand that the deposit be non-refundable?
If so, what percentage of the final cost would you request for the deposit?
5. If you were to enter a profit sharing agreement, what be the development charge and percentage if the profit sharing was limited to a period of months effectivly buying me out at some point?
6. What would you charge as the devlopment fee and what would be the shared percentage if the profit sharing and maintanince of the site were for the lifetime of the site?
As I type this I am realzing that the client is more of a silent investor as I could simply build out the sites and keep them as I already do since the risk involved would be the same on a contengincy basis (less the deposit if it is non-refundable). Any adivce will be greatly apperciated as well as any relevant comments because I really need as much info on this as I can get and I am sure I'm missing some important points. If you are not a site developer and strictly an SEO guy/gal feel free to just chime in on the SEO costs.
