Anyone who understands SEO, please read this!!

I have a quick question that I was hoping someone could help me with.
One of my old websites was heavily penalised by Google a year or so back and I've had trouble getting it back (I think it's been sandboxed or something). So instead of spending many more months trying to figure it all out and making myself crazy, it was suggested that I might be better just switching domains from .com to co.uk and starting from scratch. I thought it would be easier and less stressful that way, so that's what I've done.
But, a lot of the content that I have on the new .co.uk site is also on the old .com one.
So, will Google penalise the new site (co.uk) for having some of the same content, or will it not matter? Should I rewrite 100% of the new content, which will take a LONG time, or can I de-index or bin the old .com one or something?
Any advice would be really appreciated!
